Please read these terms carefully before using the DiagramIQ platform. By using the Service, you agree to be bound by these Terms.
By accessing or using the DiagramIQ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
If you do not agree to these Terms, do not access or use the Service.
DiagramIQ provides a cloud architecture intelligence platform that includes automated infrastructure discovery, AI-assisted architecture design, drift detection, security scanning, compliance validation, cost estimation, and related features (collectively, the "Service").
The Service is provided as software-as-a-service. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at security@diagramiq.io if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised account use if you failed to notify us promptly.
You agree not to use the Service to:
— Access any system, network, or data you are not authorised to access — Attempt to reverse-engineer, decompile, or disassemble any part of the Service — Use the Service to develop a competing product or service — Transmit malware, viruses, or other malicious code — Engage in activities that would constitute a violation of applicable law — Exceed usage limits in a manner that degrades Service performance for other users
We reserve the right to suspend or terminate accounts that violate these restrictions.
Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law or as stated in our refund policy.
We may change pricing with 30 days' written notice. If you do not agree to a price change, you may cancel before the change takes effect. Continued use after the effective date constitutes acceptance.
Overdue invoices accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
You retain ownership of all architecture diagrams, configurations, and other content you create or upload to the Service ("Your Content").
You grant DiagramIQ a limited, non-exclusive licence to process Your Content solely to provide the Service to you. We will not use Your Content for any other purpose without your explicit consent.
You are responsible for ensuring that Your Content and your use of the Service comply with applicable law.
DiagramIQ and its licensors retain all intellectual property rights in the Service, including the software, user interface, documentation, and all related materials.
These Terms do not grant you any rights in DiagramIQ's trademarks, trade names, or logos. "DiagramIQ" and related marks are registered trademarks of DiagramIQ Pty Ltd (ABN 57 687 546 701).
Each party may disclose non-public information to the other in connection with the Service ("Confidential Information"). Each party agrees to: (a) keep Confidential Information strictly confidential; (b) not disclose it to third parties without prior written consent; and (c) use it only as necessary to perform obligations under these Terms.
This obligation does not apply to information that is or becomes publicly known through no breach of these Terms, or that is required to be disclosed by law.
We warrant that the Service will perform materially in accordance with our documentation and that we will not materially diminish the functionality of the Service during your subscription.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Either party may terminate these Terms at any time by providing written notice. Upon termination, your right to access the Service ceases immediately.
We may suspend or terminate your access immediately if you breach these Terms, become insolvent, or we are required to do so by law. We will provide notice where legally permitted.
Sections 6, 7, 8, 9, 10, and 12 survive termination.
These Terms are governed by the laws of New South Wales, Australia. Disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales, except that either party may seek injunctive relief in any competent court.
We may update these Terms from time to time. Material changes will be communicated via email to account holders at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
